In the following terms and conditions certain words and expressions shall have the following meanings:Top

“We or Us” means courierfrog.

“User” – A member who has posted a Job on the Site;

"Job" - The transportation request posted by the User on the Site;

"Account" means a designated account allocated by Us to each Member for the payment and receipt of Fees;

"Conditions" - All conditions applicable to a person accessing the Site in connection with his use of the Site, either the general conditions only or both general and supplemental conditions.

"Member/Membership" - The status of being a Member;

"Transport Provider" - A member who has submitted a quotation in respect of a Job;

"Registration" / "Register" - Setting up a membership account having agreed to the Conditions;

"Site" - www.courierfrog.com

"Transaction" - The agreement entered into between a Transport Provider and a User for the performance of a Job.

Our website www.Courierfrog.com is an online marketplace that allows users to post Jobs, and then couriers can quote for these Jobs, with a view to entering into a transaction. The site is owned and operated by us.

The site www.courierfrog.com is operated by CourierFrog Limited and is registered in England and Wales under company number 7338574.

The General Conditions and the Supplementary Conditions of these terms and conditions set out the terms and conditions of the services we will provide to you.

If you are only browsing the site without registration only the General Conditions will apply to you.

If you are reading parts of the site that only a registered member can read, you will be asked to confirm that you have read and accepted both the Supplementary Conditions and General Conditions.

To use and access this site the user must agree to the Conditions and any correspondence including any communication between you and us. It is the responsibility of you to read the terms carefully before using the Site and by doing

At any point and time CouierFrog may decide to revise the conditions. It is the responsibility on you to assess the current conditions. Certain provisions in the Conditions may be out of date by particularly designated legal notices located on certain pages of the Site. Any rights not expressly granted in these terms are reserved. so indicates that you accept the General Conditions regardless of whether or not you choose to become a Member.

If the user does not accept the General Conditions then please abstain from using the site.

1) AccessTop

1.1 Courierfrog tries to ensure that the Site is available to you for 24 hours a day and is made available on a “as is” basis. Despite this at times some issues may arise and the site may need to be taken down for maintenance and repair. Should this happen we shall not be liable if, for any reason, the Site is unavailable for any period, at any time.

2) ContentTop

2.1 Although it is our aim to ensure the information on Site is right, we do not warrant the precision or entirety of the material on the Site. Some of the sites material may be out of date and we are under no obligation to update and change this. We may make changes without notice to material on Site at any time and without notification.

2.2 The contents of the Site are provided "as is", and we do not warrant the accuracy or completeness of the content of the site.

2.3 It is prohibited to post or communicate to/from the Site any material that:

  • Constitutes or encourages conduct that would be considered a criminal offence, gives rise to civil liability, is otherwise unlawful or infringes the rights of any third party, in any country in the world; or
  • Is technically damaging, including: computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data that could be harmful to any technological device and/or including all computers and software.

2.4 You may not edit, change or hack the site.

2.5 Should any law enforcement authority or Court order request or direct us to disclose the identity or location of anyone posting any material in breach of section 2, we will fully cooperate.

3) LicenseTop

3.1 CourierFrog allows you to view, print and download extracts from the Site for your own use on the basis that:

  • No graphic on the Site are used independently from the related text
  • Our copyright notices and this permission notice appear in every copy.
  • None of the documents or related graphics on the Site are adapted at all
  • Despite this is it is important to note that prior permission will have to be gained in order for any parts of the site to be reproduced on any other website or technological devise.
  • Is hostile, slanderous, indecent, pornographic, abusive, racist, blasphemous discriminatory, provocative and in breach of privacy.
  • You have not obtained all necessary licenses.

4) DisclaimerTop

4.1 To the extent permitted by law we hereby exclude:

  • All conditions, warranties and other terms that might otherwise be implied by statute, common law or the law of equity;

4.2 We are not responsible for any consequential, direct or indirect losses with the site or in connection with the use or inability to use the site. Any websites linked to the site or any materials posted on it including without limitation any liability for foreseeable/ unforeseeable losses. Which include:

Loss of profits or contracts

Loss of income or revenue

Loss of business;

Loss of data;

Any other loss or damage of any kind, including caused by tort, negligence or act of god, even if foreseeable or expected.

4.3 The above does not affect our accountability for personal injury or death as a result of our negligence, nor any other accountability which cannot be excluded under relevant law.

5) Privacy/Information we store about youTop

3.2 If not already stated, all of the sites copyright and other intellectual property rights are owned by us or our licensors. Unless it is accordance with section 3.1 breach of these rules will result in you immediately destroying any downloaded/ printed extracts from the Site and your membership will be revoked.

6) TerminationTop

6.1 We are entitled, at our discretion, to terminate your access to the site without prior notice where you are:

  • A legal change is present limiting our ability to provide access to the Site
  • You are proven to be insolvent
  • You are in breach of the conditions or abusing the site.

7) Website LinksTop

7.1 For your convenience, links to third party websites are made available. When you use these links, you leave the Site. We have not revised all of the third party websites and are not in control/liable for their content and accessibility.

7.2 When linking to the Site , you can only do so by linking the home page and you will be subject to the specific conditions:

You do not imply that we are, in any way, endorsing any products/services other than our own

You do not present any false information about Courierfrog or misrepresent your relationship with us.

7.3 Any breach of the previous section 7.2 we are within our rights to take any action

When you provide any personal information to us, it will be in accordance with our Privacy Policy.

8) Text MessagingTop

8.1 Signing up to this service will allow you to receive text alerts on deliveries and bid updates.

8.2 The data you provide will be added to our marketing database and will be used in accordance with our Privacy Policy. By signing up to this service you confirm that you are 18 years of age or older.

8.3 Courierfrog does not accept liability in respect of the use and availability of this service. Messages are usually sent immediately, but there may be delays in transmission. It is not guaranteed that the messages will be received. A user uses this service at his or her own risk.

8.4 Courierfrog's messages are charged to your network operator and courierfrog. There is a charge of up to 10p dependent upon the service provider, which may vary. To stop receiving texts from the courierfrog simply reply to a text from the service with the word STOP, and you will receive no further texts.

8.5 From time to time the courierfrog text service may be unavailable due to maintenance or failure. While courierfrog will make every step to ensure this "down time" is kept to a minimum, courierfrog will not be liable for any loss, damage or inconvenience caused as a result.

8.6 In accordance with the legal provisions, usage data are recorded only insofar as this is necessary for the untroubled performance of the service, for accounting purposes, and for the provision of other related goods and services.

8.7 Courierfrog may change all or part of these Terms and Conditions from time to time in its sole discretion. Courierfrog will also update the Terms and Conditions contained on the Website to reflect any such change.

8.8 Courerfrog shall be entitled to end your right to use the service without notice if courierfrog becomes aware and determines, in its sole discretion, that you have breached any of these Terms and Conditions.

9) GeneralTop

9.1 The Site is directed only at those who access it from England and Wales. Accessing the site outside of England and Wales leaves you responsible for compliance with local laws to which that they apply.

9.2 Nothing in the Conditions shall be enforceable under the Contracts (Rights of Third Parties) Act 1999 by any third party.

9.3 If any provisions of the Conditions are found to be unlawful, void then that provision will be severed from the conditions.

9.4 Delay or failure in enforcing obedience with one or more provisions of these Conditions shall not amount to a waiver of any other provision of these Conditions and will not affect rights in respect to any subsequent breach.

9.5 The Conditions make up the entire agreement between ourselves in relation to your use of the Site and shall replace any prior agreement/representation.

9.6 All notices to be given by Courierfrog to the other pursuant to or in connection with the Conditions shall be considered sufficiently given when forwarded by e-mail addressed to you at any e-mail address you provided or to us.

9.7 These Conditions are governed by the laws of England and Wales and you agree to submit to the exclusive jurisdiction of the English courts that we consider to be necessary. Any loss or damage that we may experience, you will fully cover.

Supplementary ConditionsTop

Be aware that this section of the Conditions is additional to the General Conditions and is only needed if you are a Member.

1) Registration Top

1.1. When applying to become a Member of Our Site, you warrant that:

  • (a) You are legally capable of entering into binding contracts;
  • (b) (If you are an individual/sole trader) You are at least 18 years old;
  • (c) All the information in filled in when becoming a member is accurate to the best of your knowledge and belief.

1.2 Membership is for individual user only, Your user name and password is not transferable to a third party.

1.3 You will be responsible for the security of any passwords and usernames issued.

2) Our Services Top

2.1 We are not a courier company, freight forwarder, car rental/lease hire company, haulage service provider or anything in-between. Courierfrog acts a channel for Transport Providers and Users to enter into negotiations with a view to entering transaction. CouierFrog does not have any control over the safety, quality or legal aspects of the Jobs and/or Transactions that take place on the site.

2.2 If you are a Courier you commit to the agreement that the Site is for shipping/transportation related services only. Signing up to Courierforg you hereby agree that you will not use your Membership as a way of marketing or selling any goods, products or other Services.

2.3 The responsibility of selecting a suitable Transport Provider for a job is that of the User and it is a joint responsibility of both the Transport Provider and User to come to an agreement about the terms of the transaction.

3 General Disclaimer Top

3.1 Except where it is clearly stated otherwise in the Conditions, and only to the extent so stated, No third party shall accrue any rights in relation to a transaction. The contract for any Transaction is between you and the other Member and we are therefore unable to give commitment of any sort about the other Member (whether User, Transport Provider, the Job, as to quality, quantity, delivery or price.

3.2 As regards to Transport Providers we take no responsibility for claims made regarding their licenses, insurance, registration, membership or trade association or any other claim made at any point during the Transaction or bidding process. Courierfrog acts as a neutral venue for both Transport Providers and Users.

4) Unlawful Transactions Top

4.1 Members either transport provider or user are prohibited for using the site for unlawful activities.

4.2 Some Transactions may be governed by statutory regulations and cannot therefore be negotiated freely. It is for the Members to identify and adhere to such regulations and act accordingly.

5) Movement of goodsTop

5.1 Posting jobs for the transportation of certain items such as hazardous or dangerous goods is prohibited/ restricted.

5.2 All of the responsibility to compliance with all laws and regulations that relate to the transportation of hazardous/restricted goods rests with the parties to the transaction.

6) FeesTop

6.1 It is free to join CourierFrog and free to request quotes as either a transport provider or user. Transport Providers who have secured a job will be charged a success fee. A Job is considered secured if after quoting, messaging or contacting the User via the Site a Transport Provider is paid the Deposit (as defined below).

6.2 You will be allocated an account when you become a member where Deposits will be paid.

6.3 The Fee is based upon a tiered percentage of the Successful Transport Provider's accepted bid price/quote price. Courierfrog’s tiered success fee structure is as follows

  • Accepted bid amount: £0.01 - £150.00
    Commission %: 9% of the value from £0.01-£150.00, with a minimum fee of £3.00
    Example Job:
    Accepted bid - £50.00
    Commission - £4.50
    User pays deposit of - £4.50 +VAT
    Courier receives - £45.00
  • Accepted bid amount: £350.00 - £1000
    Commission %: 5% of the remaining match value balance (£350.01-£1000, plus 7% of the value from (150.01 - £350.00), plus 9% of the value from (£0.01 - £150.00) Example Job:
    Accepted bid - £500.00
    Commission - £35.00
    User pays deposit of - £35.00 +VAT
    Courier receives - £465.00
  • Accepted bid amount: £1000+
    Commission %: 3% of the remaining match value balance (£1000+), plus 5% of the value from (£350.01 - £1000), plus 7% of the value from (£150.01 - £350.00) plus 9% of the value from (£0.01 - £150.00)
    Example Job:
    Accepted bid - £1200.00
    Commission - £66.00
    User pays deposit of - £66.00 +VAT
    Courier receives - £1134.00

6.4 The incurring of the Fee stands alone to the actual performance of the transaction. Subject to the (condition 7) the commitment to pay the Fee still applies if a Job is placed via the Site but not then carried out and/or the Transaction is later terminated, which may be waived at our discretion.

6.5 When you accept a bid as a User, you will have to pay a deposit in the amount of the Fee into your Account which will be immediately transferred to the Successful Transport Provider's Account. From which we will then debit the sum as payment of the Fee.

  • Accepted bid amount: £150.00 - £350.00
    Commission %: 7% of the remaining match value balance (£150.01-£350.00, plus 9% of the value from £0.01 - £150.00)
    Example Job:
    Accepted bid - £250.00
    Commission - £20.50
    User pays deposit of - £20.50 +VAT
    Courier receives - £229.50

6.6 It is the responsibility of the Transport Provider to collect and remit any and all VAT related to a Transaction. Your quote/tender amount for the job is inclusive of VAT. You are not permitted to submit a bid amount excluding VAT and then charge VAT on top of your bid price once your bid has been accepted.

6.7 Should you wish for your listing to be prioritized, then the following options are available:?

  • Priority listing: £3.99 – You can post your item at the top of the list for a 30 day period;
    Same Day: £0.99 – You can post your item at the top of the list for a 24 hour period, but it will return to its original place after this period has elapsed.

6.8 We reserve the rights to waive or change the basis for the calculation of the Fee at our discretion The fee may also momentarily change or be suspended. We will notify members should any changes be made.

7) Cancellations Top

7.1 Transport Provider or user can make a cancellation request at any time. If a job I cancelled after a bid has accepted but before any work on the Job has been carried out. The User can look to recover the Deposit/Fee in accordance with a cancellation Request.

7.2 Either party is eligible to make a Cancellation request. If the request is rejected by the other party we will make a decision on whether to approve or not to approve the cancellation request. Our decision is final. Any party that does not comply with our decision will have their membership terminated.

7.5 Abuse of the cancellation procedure includes submitting false or exaggerated reasons, scheming against other member. This Is taken very seriously. If any Member is found to be abusing the procedure, their Cancellation Request will be rejected, their Membership will.

8) Feedback Top

8.1 Feedback evaluations are used for members to rate each other’s performance during the transaction. Based on this system a member can then make their decision to enter into a transaction with a member solely on reputation. This is to create a level of competition between couriers to keep a level of professionalism that warrants them charging a higher/lower price.

8.2 The process of leaving feedback is that there is a chance for the Member to rate the other members overall performance as well as leave a short comment. The feedback scores available are:

+1 (positive)
0 (neutral)
-1 (negative)

A Member's overall feedback score is made up from the average of their total score.

8.3 By accepting or posting a job, you therefore accept that it is more than likely that another Member will leave feedback about you. You should also be aware that your feedback consists only of comments left by other Members and your overall feedback score is calculated in accordance with section 8.2.

8.4 Use of, defamatory behavior, illegal activity, extreme profanity or any other form of abuse of the feedback function will result in membership termination.

9) Information you Supply Top

9.1 You must provide true, legal, accurate, and non-fraudulent information to us and/or any other Members during the Registration, shipping, or transportation process, which shall include anything posted on the Site.

9.2 Your personally identifiable information is covered under our Privacy Policy (accessible via www.courierfrog.com/privacy

9.3 All none personally identifiable information is considered non-confidential and not owned. We are under no obligations for using such material and are free to copy, distribute, incorporate and otherwise use and all data, images, sounds, text for any commercial/non-commercial purposes.

10) FraudTop

10.1 If we suspect you have engaged in fraudulent activity in connection with the Site We can suspend/terminate your Membership.

10.2 Any transports providers bidding on jobs must include all charges including taxes and fees. Transport providers may not later on add the fee to the bid price.

10.3 Members may not cause another person to engage in any acts or behavior intended to avoid or manipulate the Fee.

11) Rejection or Removal of Members

11.1 We are within our rights to reject your Registration or cancel your Membership at any point and for any reason or for no reason and we do not have to give you notice of this.

11.2 You may appeal for your Membership to be reinstated if we have terminated or rejected your membership. When appealing you must provide written statement explaining why you think you should be reinstated. The Courierfrog team will review this and contact you regarding our decision, our decisions are final.

12) Non-disclosure agreementTop

Over the course of your Membership you may find and discover about our business its documents, our operations and day to day running, past current and future marketing strategies, software, financial information, technologies, clients, staff background, target audience, application, practices, aims and objectives. You therefore agree to that; all of this information is confidential and exclusive intellectual property. It is forbidden for any of our information to be disclosed to a third party.

Account Subscription Prize Draw Terms & ConditionsTop

The Prize Draw is open to all UK residents aged 18 and over who a user or courier account with courierfrog limited via the website, www.courierfrog.com, with the exception of employees of courierfrog.com or associated marketing organisations, their immediate families, agents or anyone else associated with the administration of this promotion.

Entry is based on accounts created via www.courierfrog.com up to midnight on Friday 25th November 2013.

One winner will win one Apple iPad.

The winning name will be picked at random, in the presence of an independent adjudicator, from all valid account creations received by the closing date.

No cash alternative will be offered.

The winner will be notified by email no later than 28 days from the closing date of the Prize Draw.

Entries from third parties or agents are invalid.

In the event of unforeseen circumstances, the promoter reserves the right to offer an alternative prize of equal or greater value.

One entry per person. One account creation equals one entry to the prize draw until the closing date. Creating multiple accounts in a direct attempt to make more than one entry could result in possible disqualification from the promotion.
